Exclusive Right to Represent Agreement
Ask IT is desirous of availing your services, as a consultant/candidate for a specific technical position, which may be available to it, through this one client.
Whereas, the consultant represents that it is also desirous of being marketed through Ask IT for this client only and that the consultant empowers Ask IT to forward His/her resume and arrange interviews with this client only.
In consideration of the foregoing, Applicant represents and covenants that Applicant (I) will work exclusively through ASK IT in regard to obtaining employment with this Client only, (ii) has not and will not grant or permit any other third party the right to submit Applicant's resume to this Client only or otherwise pursue employment opportunities for the benefit of Applicant with this Client only and (iii) has not sent his/her resume to this Client only within the four month period preceding the Current date.
Also, the consultant agrees that the consultant will not try to solicit for employment any of this Ask IT client, for whom the consultant has provided services, or this client only, who was introduced to the consultant through Ask IT.
This Agreement shall be deemed to have been made in the State of New York and shall be construed and interpreted in accordance with the laws of said State.
That the consultant fully understands the context in which this agreement is made and executed. By giving a formal acknowledgement over the email, the consultant becomes legally bound to the above mentioned terms of exclusive representation and Non-solicitation of Ask IT for this client only, as if he/she would have become through formal execution of this agreement.
